By accessing or using this Website, you acknowledge that you have read, accepted, and agreed to be bound by these Terms and Conditions (“Terms” or “Agreement”). These Terms apply to all content, products, and services offered through https://www.happyheadshop.com, an e-commerce website owned and operated by Happy Head LLC (“Happy Head Shop,” “we,” “us,” or “our”). If you do not agree, please discontinue use of this Website immediately.


IMPORTANT: This Website sells only over-the-counter (OTC), non-prescription consumer products. No prescription medications, telemedicine services, medical consultations, or clinical services of any kind are offered through this Website.


1. Agreement to Terms

These Terms govern your use of the Website and all content, products, and services offered through it. Happy Head LLC reserves the right to modify these Terms at any time. Continued use of the Website after modification constitutes acceptance of the updated Terms. Supplemental terms posted on the Website are incorporated by reference.


2. OTC & Non-Prescription (Non-Rx) Products Only — No Medical Services

All products sold on this Website are over-the-counter (OTC), non-prescription consumer products. We do not offer, and this Website does not constitute, any form of medical advice, diagnosis, treatment, telemedicine, or prescription drug service. Information on this Website is for general informational and wellness purposes only and is not a substitute for professional medical advice. Always consult a qualified healthcare provider before beginning any new health or wellness regimen.


3. Relationship Between Happy Head LLC and Happy Head, Inc.

This Website is owned and operated by Happy Head LLC, a separate legal entity from Happy Head, Inc. (which operates happyhead.com). By making a purchase or creating an account on this Website, you acknowledge and expressly agree that:

  • Happy Head LLC may share your name, email address, purchase history, and marketing preferences with Happy Head, Inc. for marketing and operational purposes, including via third-party CRM platforms such as Blueshift or similar platforms.
  • You may receive marketing communications from both Happy Head LLC and Happy Head, Inc. as a result of this sharing.
  • You may opt out of such marketing communications at any time by following the unsubscribe instructions included in any communication or by contacting us using the details below.

This data-sharing arrangement is further described in our Privacy Policy. Your consent to this sharing is a material term of your use of this Website.


4. Cancellations, Payments, and Recurring Charges

After signup, your My Account page will show your last order date and future payment date(s) under the Subscriptions tab. You can change address, renew, or change payment method from this page by logging in.


Any order(s) identified as "Processing" or "Shipped" on your upcoming page, however, cannot be canceled.


In order to cancel your upcoming order before it is processed or shipped, you must contact Happy Head Shop at least three (3) days before the next billing date. You also have the option to postpone your next billing date by logging in and adjusting the date under the Subscriptions tab of your Account page any time before the order is placed. You will be responsible for all charges related to any order identified as "PROCESSING," "SHIPPED," OR "COMPLETED" prior to the cancellation of your subscription.


If you are enrolled in the Auto-Replenish plan and have provided a valid payment method, each payment will be automatically processed at the time of each subscription renewal or installment and billed to one of the payment methods provided on the Account Info tab of your Account page.


If you wish to cancel your participation in the Auto-Replenish plan, you must contact customer service at least three (3) days prior to the next date of billing ("Bill Date") to ensure your order does not process.


You may do so by contacting www.happyheadshop.com/help or by giving us a call at (855) 764-4247 anytime Monday through Friday between 6am and 5pm PST.


Account Activation and Inactivity: Happy Head LLC reserves the right to cancel or deactivate your account and any associated subscription if your account remains inactive or unverified for more than 120 consecutive days following purchase or initial registration. No refunds will be issued unless explicitly requested within the 120-day window. Accounts canceled due to prolonged inactivity are not eligible for refunds unless a valid refund request is submitted within 120 days of purchase.


5. Shipping

Happy Head Shop ships within the United States only. We reserve the right to reject orders with delivery addresses outside the USA. Unless otherwise stated at checkout, complimentary standard shipping is offered on qualifying orders. Estimated delivery is 3–5 business days after a 2–3 business day processing period. All orders ship in discreet packaging.


Happy Head LLC is not liable for delays caused by third-party carriers or for delivery addresses entered incorrectly by the customer. Please verify your address carefully at checkout. Address changes must be submitted at least three (3) days before the next billing date. Once an order is released to a carrier, title and risk of loss transfer to you.


Monthly subscriptions are shipped to your Shipping Address every twenty-five (25) to twenty-seven (27) days, depending on your product, to ensure you receive your next month's supply of product promptly, preventing any interruptions in your hair care routine. If you find yourself with a surplus of product, you can request to pause your subscription at any time. We recommend using your latest month’s supply for the best results. Please note that your next order will not be processed as long as your subscription is paused at least three (3) days before your next billing date.


Once your order is shipped, you will receive an email with a tracking number. Delivery timeframes are good-faith estimates and are subject to change.


6. Refund and Return Policy

If you are dissatisfied with a product for any reason, please contact us at www.happyheadshop.com/help within 30 days of delivery. We may replace the product or provide a full or partial refund of the purchase price at our sole discretion. Before providing a refund, replacement, or credit, we may require that you return the product at your own expense and/or submit photographic documentation. All refunds will be made to the payment method used for the original order.


You are responsible for inspecting all products for damage or other issues upon delivery. Damaged product claims must be submitted within 7 days of receipt. Returns must be made within 30 days of the delivery date. You are responsible for returning unused portions in original packaging and for the associated return shipping costs.


OTC products are not eligible for return unless defective or otherwise approved by Happy Head LLC in its sole discretion. No money-back guarantee applies to OTC products unless expressly stated in writing at the time of purchase for a specific product.


7. CAN-SPAM Act Compliance

All commercial email communications from Happy Head LLC comply with the CAN-SPAM Act of 2003 (15 U.S.C. § 7701 et seq.). Specifically:

  • Our commercial emails clearly identify that they are advertisements or promotional in nature where required.
  • Our commercial emails include our valid physical postal address: Happy Head LLC, 11150 W Olympic Blvd, Suite 1050 #668, Los Angeles, CA 90064.
  • Every commercial email includes a clear and conspicuous mechanism to opt out of future marketing emails.
  • We will honor all opt-out requests within ten (10) business days.
  • We do not use deceptive subject lines or sender information in our commercial email communications.
  • We prohibit the use of our Website or services to harvest email addresses, generate spam, or send unsolicited commercial email of any kind.


8. SMS and Text Message Marketing

By providing your mobile phone number and opting in to receive text messages from Happy Head Shop, you expressly consent, in writing, to receive recurring automated marketing and transactional SMS/text messages from Happy Head LLC using an automatic telephone dialing system (ATDS) or other technology, even if your mobile number is registered on any state or federal Do Not Call list. This constitutes your prior express written consent as required by the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227.


Types of Messages

We may send two categories of SMS messages:

  • Service/Transactional: Order confirmations, shipping updates, account alerts, and other non-promotional communications related to your account or purchases.
  • Promotional/Marketing: Promotions, special offers, cart reminders, and other marketing content.


Consent Not Required for Purchase

Your consent to receive marketing text messages is not a condition of any purchase. You may make purchases without providing SMS consent.


Opt-Out

Costs and Carrier Liability

Happy Head LLC does not charge for the SMS service, but standard message and data rates from your wireless carrier may apply. Message frequency varies. Wireless carriers are not liable for delayed or undelivered messages. You are responsible for maintaining a valid mobile number on file. If you obtain a new mobile number, you must re-enroll.


To the extent permitted by applicable law, Happy Head LLC is not liable for failed, delayed, or misdirected delivery of any SMS message, any errors in such messages, or any action you may or may not take in reliance on them. SMS opt-in data and consent are not shared with any third parties.


9. Accounts, Passwords, and Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. Happy Head LLC is not liable for any loss or damage arising from your failure to maintain account security. You may not use anyone else’s account without express permission of the account holder.

Results may vary and are not guaranteed. Product descriptions and content on this Website are for informational and general wellness purposes only and do not constitute medical advice. Consult a qualified healthcare provider before beginning any new health or wellness product or regimen.


11. Disclaimer of Warranties

THE WEBSITE AND ALL PRODUCTS AND CONTENT OFFERED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAPPY HEAD LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE WEBSITE OR ANY PRODUCT IS TO DISCONTINUE USE AND RETURN THE PRODUCT IN ACCORDANCE WITH THE RETURN POLICY ABOVE.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPY HEAD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR PURCHASE OF PRODUCTS, EVEN IF HAPPY HEAD LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. HAPPY HEAD LLC’S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Happy Head LLC and its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to: (a) your use of the Website or any products purchased through it; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, privacy, or proprietary rights; or (d) any content you submit, post, or transmit through the Website. This obligation survives termination of these Terms.


14. DMCA and Copyright Policy

Happy Head LLC respects intellectual property rights. To submit a DMCA takedown notice, provide the following to our designated agent:

  • A physical or electronic signature of the person authorized to act on behalf of the copyright owner.
  • A description of the copyrighted work claimed to have been infringed.
  • A description of where the allegedly infringing material is located on the Website.
  • Your contact information (address, telephone number, and email address).

15. Arbitration, Jury Trial Waiver, and Class Action Waiver

Where permitted by applicable law, you and Happy Head LLC agree that any dispute arising out of or related to these Terms or the Website will be resolved by binding, individual arbitration. You waive your right to a jury trial and to participate in any class action or class-wide arbitration. You agree to bring claims only in your individual capacity.


Before commencing arbitration, you must provide Happy Head LLC with a written Notice of Dispute describing the claim and desired relief, sent to: Happy Head LLC, 11150 W Olympic Blvd, Suite 1050 #668, Los Angeles, CA 90064, ATTN: Dispute Notice. The parties will negotiate in good faith for sixty (60) days. If unresolved, either party may commence arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in Los Angeles, California. The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs this provision.


You may opt out of arbitration within 30 days of first agreeing to these Terms by sending written notice to the address above, ATTN: Arbitration Opt-Out.


16. Intellectual Property

All content on this Website, including text, images, graphics, logos, and trademarks, is the property of Happy Head LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Website content without our express written permission. The Happy Head Shop name and logo are trademarks of Happy Head LLC.

Social media platforms are places of public information exchange. Neither these Terms nor our Privacy Policy apply to Happy Head LLC’s external social media presence. Those platforms are not controlled by Happy Head LLC and have their own privacy policies and terms of use. Comments and opinions expressed by users on social media are their own and do not reflect the views of Happy Head LLC.

20. Governing Law and Venue

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. For any disputes not subject to arbitration, the exclusive jurisdiction and venue shall be the state and federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.


21. Force Majeure

Happy Head LLC shall not be liable for any delay or failure to perform its obligations caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, governmental action, labor disputes, power or internet outages, or actions of third-party carriers or service providers.


22. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.


23. Entire Agreement; No Waiver

These Terms, together with our Privacy Policy, Subscription Terms & Conditions (if applicable), and any other policies posted on this Website, constitute the entire agreement between you and Happy Head LLC with respect to the Website. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.


24. Refer-a-Friend Program

If we offer a Refer-a-Friend program, the following additional terms apply:

  • A Qualified Referral is a first-time purchase by a new customer who arrives via your referral link.
  • The referrer and the referred customer cannot be the same person.
  • Referral rewards are subject to change and may be discontinued at Happy Head LLC’s sole discretion.
  • Happy Head LLC reserves the right to disqualify referrals and close accounts that abuse the program.
  • You are solely responsible for any tax liability resulting from referral rewards.
